The room

A boutique practice. My name on the door.

I’m Max Kelner. I built this firm for clients who want to know their lawyer—and want their lawyer to know their business.

You work directly with me, from the first conversation through the decisions that follow. I keep my practice small deliberately. I’m interested in knowing what you’re building, understanding the numbers, and giving you advice you can actually use.

My Executive MBA from UNLV informs how I look at your business. When we discuss a legal question, I’m also thinking about the costs, the tradeoffs, and what it will take to put the decision into practice.

You can expect candid advice and flexible access. We’ll work out how to stay in touch around the way you work.

This is my practice, and I intend to keep it personal.

Max Kelner, Esq., EMBA Kelner Counsel PLLC

The practice

Counsel for businesses and founders.

I work with businesses and the people who build them. You might be negotiating a contract, making a difficult decision with a business partner, or figuring out what comes next. I want to understand the situation well enough to give you advice that makes sense for your business.

Who it is for

  • Founders and business owners who want a working relationship with their lawyer.
  • Businesses that want legal advice as decisions are being made.
  • People who value direct conversations and are willing to hear a candid answer.

How I work best

My practice is built around ongoing relationships. Knowing your business over time helps me ask better questions and spot issues earlier. If you’re looking only for help with an urgent, isolated matter, this practice is unlikely to be the right fit. Please don’t wait on a response from me if a deadline is approaching.

What the work covers

  1. I help with business transactions and contracts, looking at what the terms will mean when you actually have to work with them.

  2. Agentic businesses are a particular focus of mine. If AI agents are doing work or making decisions in your company, I help you work through their authority, the contracts involved, and who is responsible when something goes wrong.

  3. I handle business disputes and commercial litigation, with the underlying business and your objectives in mind.

As your business develops

As your plans change, we keep talking. I want to understand what the next decision means for you as well as for the company.

How to engage

Let’s talk.

Choosing a lawyer is personal. I’d like to hear what you need, and you should have a chance to ask how I work before deciding whether to hire me.

  1. 01

    Get in touch

Send me a short email about your business and what you’re looking for. A general outline is enough to start. Please leave out confidential details and don’t attach documents.

    Email me

  2. 02

    Meet with me

We’ll start with a fifteen-minute video call to talk about your needs, my approach, and whether we’d work well together. If you’re in Las Vegas, we can arrange to meet in person.

  3. 03

    Agree on the work

If we decide to work together, the engagement letter will set out the work and the terms. Our attorney-client relationship begins once that letter is signed and the first payment is received.

The fee

$5,000 a month

For ongoing general counsel work, I charge a flat monthly fee and reserve up to five hours a week for you. You can cancel on 30 days’ notice. If you need more time, Priority GC reserves ten hours a week, by arrangement. I don’t bill hourly or take contingency fees.

Fees as of October 2026, until changed on this page. The engagement letter sets the terms.

If you use an AI agent

You can ask me about the practice’s MCP connector if you’d like your AI agent to run an initial fit-check. Use hypothetical situations only. Please don’t send names, documents, figures, or confidential information through it or any other channel before an engagement letter is signed. The fit-check isn’t legal advice and doesn’t create an attorney-client relationship.

I’m based in Las Vegas and meet in person by appointment. We can also talk by phone or video. With my clients, I work out a flexible schedule for staying in touch that fits the way we work together.
